These Terms and Conditions ("Terms") govern your access to and use of the website operated by Terminus Labs LLC ("we," "us," or "our") at terminuslabs.cc (the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

1. Services

Terminus Labs LLC provides custom software development, web application development, technical consulting, and related services ("Services"). The specific scope, deliverables, timeline, and pricing of any Services will be agreed upon separately in a written proposal or contract between you and Terminus Labs LLC.

2. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates any applicable local, state, national, or international law or regulation
• Use the Site to transmit any advertising or promotional material without our prior written consent
• Impersonate or attempt to impersonate Terminus Labs LLC, a Terminus Labs LLC employee, or any other person
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site
• Introduce any viruses, Trojan horses, worms, or other malicious material
• Attempt to gain unauthorized access to any part of the Site or any system or network connected to the Site

3. Intellectual Property

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof) are owned by Terminus Labs LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

For client projects: Ownership and intellectual property rights for custom software developed under a separate service agreement will be governed by the terms of that agreement.

4. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER TERMINUS LABS LLC NOR ANY PERSON ASSOCIATED WITH TERMINUS LABS LLC MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

5. Limitation of Liability

IN NO EVENT WILL TERMINUS LABS LLC, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

6. Indemnification

You agree to defend, indemnify, and hold harmless Terminus Labs LLC, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the courts of the State of Wyoming or the United States District Court for the District of Wyoming.

8. Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes.

9. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent possible, and the remaining provisions of the Terms will continue in full force and effect.

10. Entire Agreement

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and Terminus Labs LLC regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
